1. Acceptance of Terms

By accessing and using IncudoLABS services and platforms, including but not limited to QRbolt, Orion's Belt, and Orion's Forge ("the Services"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use these services.

2. Description of Service

Incudo Labs Inc. is a Canadian technology company that provides various software services and platforms. Our services include but are not limited to:

• QRbolt: QR code management platform for dynamic QR code generation, management, and tracking, including GS1® Digital Link compliance
• Orion's Belt: Open-source cybersecurity automation framework and tools
• Orion's Forge: Enterprise cybersecurity automation platform
• Analytics and tracking capabilities
• User management and collaboration features
• Subscription-based feature access (where applicable)

The services are provided by Incudo Labs Inc., a Canadian company registered in British Columbia.

3. User Responsibilities

As a user of IncudoLABS services, you agree to:

• Provide accurate and complete information when creating an account
• Maintain the security of your account credentials
• Use the services in compliance with all applicable laws and regulations
• Not use the services for illegal, harmful, or unauthorized purposes
• Respect the intellectual property rights of others
• Not attempt to gain unauthorized access to the services or their systems

4. Payment and Billing

Some IncudoLABS services offer subscription-based access with various pricing tiers. Payment processing is handled by authorized third-party payment processors.

Important: For services that require payment, our order process may be conducted by authorized online resellers who act as the Merchant of Record for orders. These resellers provide customer service inquiries and handle returns for their respective transactions.

By subscribing to our paid services, you agree to:

• Pay all fees associated with your chosen subscription plan
• Automatic renewal of your subscription unless cancelled
• Payment processing through secure third-party systems
• Compliance with applicable payment processor terms and conditions

5. Privacy and Data Protection

Your privacy is important to us. We collect and process personal information in accordance with our Privacy Policy and applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA).

We implement appropriate technical and organizational measures to protect your data and ensure compliance with privacy regulations.

6. Intellectual Property

The IncudoLABS services, including their design, functionality, and content, are owned by Incudo Labs Inc. and protected by Canadian and international copyright and trademark laws.

You retain ownership of the content you create using our services, but grant us a license to store, process, and display such content as necessary to provide the services.

7. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the services will be discontinued
• You may request deletion of your account and associated data
• Any outstanding fees remain due and payable
• Provisions that by their nature should survive termination will remain in effect

8. Limitation of Liability

To the maximum extent permitted by law, Incudo Labs Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability to you for any claims arising from or related to this agreement shall not exceed the amount you paid for the services in the twelve months preceding the claim.

9. Governing Law

This agreement shall be governed by and construed in accordance with the laws of British Columbia, Canada. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of British Columbia.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the services. Continued use of the services after changes constitutes acceptance of the new terms.
